Terms of Service

Last Updated: September 2026·Codexpal Technologies Private Limited

These Terms of Service govern commercial subscriptions, customer accounts, and use of Codexpal software products, including KhataIN, Codexpal Learn, and custom engineering engagements.

1. Commercial Relationship & Scope

These Terms of Service (“Agreement”) constitute a binding contract between Codexpal Technologies Private Limited and the business, entity, or individual (“Customer”) subscribing to or using our software platforms and services.

This agreement applies to all Codexpal products including KhataIN (Accounting, POS, ERP), Codexpal Learn (Assessment & Hiring), API endpoints, and associated cloud services.

2. Account Registration & Security

To access certain services or product workspaces, Customer must create an account. Customer agrees to provide accurate, current, and complete information during registration.

Customer is solely responsible for maintaining the confidentiality of login credentials and API keys, and for all activities that occur under Customer accounts.

3. Subscription Tiers, Billing & Taxes

Certain features of our software platforms require paid subscription plans (e.g., KhataIN Pro, Codexpal Learn Employer Tier).

Fees are billed in advance on a recurring monthly or annual basis as agreed at checkout or via contract. Prices are quoted exclusive of applicable taxes (such as VAT or local service taxes) unless stated otherwise. In Nepal, VAT-compliant tax invoices will be issued in accordance with IRD guidelines.

  • Payments may be processed via supported digital payment methods (e.g., eSewa, Khalti, ConnectIPS, or Bank Transfer).
  • Failure to pay subscription fees when due may result in suspension or restriction of service access.

4. Customer Data & Privacy

Customer retains all rights, title, and interest in and to all business data, transaction records, customer ledgers, and candidate submissions uploaded to the platform (“Customer Data”).

Codexpal will not sell or rent Customer Data. We process data strictly to provide, maintain, optimize, and secure the contracted services in accordance with our Privacy Policy.

5. Service Availability & Support

We use commercially reasonable efforts to ensure high platform uptime and reliability. Scheduled maintenance will be announced in advance when possible.

Customer support is provided via email (info@codexpal.com), official WhatsApp channels, and in-app ticketing for paid tiers.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Codexpal Technologies Private Limited be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, business interruption, or goodwill.

Our total cumulative liability arising out of or related to this Agreement shall not exceed the amounts paid by Customer to Codexpal for the applicable service during the twelve (12) months preceding the incident.

7. Termination

Customer may cancel subscriptions at any time via the billing portal. Upon termination, Customer will have access to export business data for a grace period of thirty (30) days, after which data may be deleted according to our data retention schedule.

8. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed under the laws of Nepal. Any dispute arising out of or in connection with this contract shall be resolved amicably, or submitted to the jurisdiction of the competent courts in Kathmandu, Nepal.
